Charter of CACAC

Adopted at the Third Member Congress of CACAC and Approved by 

the Ministry of Civil Affairs of China on October 29, 2019 

Chapter I General Provisions 

Article 1 Name: China-ASEAN Chamber of Agricultural Commerce, abbreviated as CACAC.

Article 2 CACAC is an industrial, international, and nonprofit social organization voluntarily formed by the agricultural industry, enterprises, scientific research, service and administrative institutions, social organizations, and industry experts and scholars in China, ASEAN and other countries.

Chinese and English are the official languages of CACAC. The official documents are generally in Chinese, and English when necessary.

Article 3 Purpose: to serve members, industries and governments within the laws, regulations, policies, social ethics and customs of the People's Republic of China. In accordance with the spirit of China-ASEAN Comprehensive Economic Cooperation Framework Agreement, CACAC puts emphasis on China-ASEAN free trade area, countries along the Belt and Road, and also serves other countries in the world, thus promoting and deepening exchange and cooperation in agricultural economy, trade, technology and culture etc. between CACAC and the rest of the world, as well as providing opportunities for businesses from all over the world. CACAC has built a high-class cooperation and exchange platform for governments, enterprises, social organizations, experts and scholars, etc. to discuss agricultural development, promote cooperation in agricultural economy, trade, technology, capacity, and investment, strengthen agricultural ecological civilization and cultural exchanges, and coordinate mechanisms and channels for cooperation on related issues. CACAC has established a network with politics, businesses and academics to promote the ever-expanding commodity trade, service trade, investment and financing, cultural exchanges and cooperation between members and non-members.

Article 4 CACAC is under the guidance, supervision and management of the Ministry of Civil Affairs of China and All China Federation of Supply and Marketing Cooperatives.

Article 5 Registered address (domicile): Beijing, P.R.China.

Chapter II Scope of Business 

Article 6 Scope of Business:

1. To promote the economic, trade, technological, capacity, cultural and investment development, exchange and cooperation between China, ASEAN and other countries and regions in the field of agriculture and agricultural materials.

2. To participate in the activities of international trade organizations and carry out exchanges and cooperation with relevant government departments, trade organizations and business associations in China, ASEAN and other countries and regions.

3. To building an exchange platform among member countries, government departments and other organizations.

4. To provide industry information services on laws, regulations, and policies on agricultural economy and trade, technology, capacity, culture and investment in China, ASEAN and other countries and regions, and send information and materials to members, government departments and related organizations through electronic communications, networks, publications, etc.

5. To organize various activities that help to realize its purpose such as conferences, exhibitions, information exchanges, policy consultations, legal services, economic evaluation, educational training, and e-commerce.

6. To study major issues arising from industry development and membership activities, and timely feedback industry demands and recommendations to relevant government departments.

7. To promote the development of industry norms, carry out standardization work, accelerate product and service quality improvement, participate in the coordination of trade disputes, coordinate the relationship between members and other organizations, and protect the overall interests of all members and the industry.

8. To promote industry integrity and self-discipline, strengthen the construction of industry self-discipline, credit and professional ethics, advocate members to practise in accordance with law and integrity, and push members to fulfill their social responsibilities.

9. To undertake government purchasing service.

10. To handle affairs entrusted by members.

Chapter III Membership

Article 7 Membership types: collective member and individual member.

Article 8 Members who apply to join CACAC shall meet the following conditions:

1. Support the Articles of Association of CACAC.

2. Have the willingness to join CACAC.

3. Have a certain influence in the professional field of CACAC, engage in agricultural materials and agricultural production, business enterprises, scientific research, service and administrative institutions, social organizations, industry experts and scholars. The collective member shall have a certain economic strength and influence, and the individual member shall have certain prestige in the field.

Article 9 Membership admission procedures:

1. Submit an application for admission.

2. Approved by the council.

3. A membership certificate is issued by the council or its authorized institution.

4. Discussed and approved by the standing council in case the council is not in session.

Article 10 Members are entitled with the following rights:

1. The right to vote and to be elected.

2. The right to participate in the activities organized by CACAC.

3. The priority of getting services from CACAC.

4. The right to criticize, suggest and supervise the work of CACAC.

5. The freedom of membership admission and withdrawal.

Article 11 Members shall perform the following obligations:

1. Comply with laws, regulations and professional ethics.

2. Implement the resolutions of CACAC.

3. Protect the legal rights and interests of CACAC

4. Complete the work assigned by CACAC.

5. Tell truth to CACAC and provide relevant information.

6. Pay the membership dues in full and on time.

Article 12 Members who withdraw from CACAC shall notify in writing and return the membership card. If a member fails to pay the membership dues as required or does not participate in the activities for one year, it shall be deemed to be withdrawn automatically.

Members who withdraw from CACAC shall pay the owed dues.

Article 13 If a member seriously violates the Articles of Association of CACAC, it shall be removed by approval of the council or the standing council.

Chapter IV Election and Removal of Organizations and Persons in Charge

Article 14 The highest authority of CACAC is the member congress with the following functions and powers:

1. Formulating and revising the Articles of Association.

2. Election and removal of council directors.

3. Reviewing the work report and financial report of the council;

4. Formulating and revising the standard of membership dues.

5. Deciding on the termination of CACAC.

6. Handling and deciding on other major issues.

Article 15 No member congress shall be convened unless two thirds of member representatives are present, and no resolutions shall take effect unless passed by more than half of the member representatives at present.

Article 16 The member congress shall be held every 5 years. Advancing or postponing the change of term due to special circumstances must be voted and passed by the council, submitted to the professional supervisory unit for review, and approved by the organization registration and management authority. However, the longest postponement shall not exceed one year.

Article 17 The council is the executive body of the member congress, directing daily work of CACAC during the intersessional period, and shall be responsible to the member congress.

The council is composed of the president, vice president, secretary general, standing directors and directors. The choice of council members shall reflect universality and representativeness.

According to the needs of business development, CACAC can set up vice presidents in Mainland China, Taiwan, Hong Kong, Macao and ASEAN countries. The candidate of the vice president shall be voted and passed by the council or the standing council, submitted to the professional supervisory unit for review, and approved by the organization registration and management authority before taking office.

In case of a director change, the member shall submit a written application to the secretariat of CACAC, and go through the procedures for the change after reviewed and approved by the council or the standing council.

Article 18 The functions and powers of the council are:

1. Carrying out the resolutions of the member congress to realize the purpose of CACAC.

2. Election and removal of the president, vice president, secretary general and standing directors.

3. Preparing to convene the member congress.

4. Reporting work and financial status to the member congress.

5. Deciding on the admission or removal of members.

6. Deciding on the establishment and cancellation of offices, branches, representative offices and entities.

7. Deciding on the appointment of deputy secretary general and principal persons in charge of various organizations.

8. Directing the work of various organizations of CACAC.

9. Formulating internal management system.

10. Putting forward suggestions and opinions on amending the Articles of Association.

11. Deciding on other major matters related to the purpose of CACAC.

Article 19 No council shall be convened unless two thirds of council directors are present, and no resolutions shall take effect unless passed by two thirds of the council directors at present.

Article 20 The council shall be held at least once a year. If necessary, it can also be held online.

Article 21 CACAC shall set up a standing council. The standing council shall be elected by the council as a permanent body, consisting of the president, vice president, secretary general, and standing directors whose member shall be less than one thirds of that of directors.

The standing council shall exercise the functions and powers of the first, third, fifth, sixth, seventh, eighth, and ninth items of Article 18 when the council is not in session, and shall be responsible to the council.

Article 22 No standing council shall be convened unless two thirds of standing council directors are present, and no resolutions shall take effect unless passed by two thirds of the standing council directors at present

Article 23 The standing council shall be held at least once every six months. If necessary, it can also be held online.

Article 24 The president, vice president, and secretary general of CACAC shall meet the following qualifications:

1. High degree of moral awareness and group awareness.

2. Certain influence in the business field of CACAC.

3. The maximum age of the president, vice-president and secretary general of CACAC shall not exceed 65 years old, and the secretary general shall work full-time.

4. Healthy and able to work normally.

5. No penalties for deprivation of political rights.

6. Full capacity for civil conduct.

Article 25 If the president, vice president, and secretary general of CACAC age over 65 years old, they shall be voted and passed by the council, submitted to the professional supervisory unit for review, and approved by the organization registration and management authority before taking office.

Article 26 The term of office for the president, vice president, and secretary general of CACAC shall be 5 years, and shall not exceed 10 years. If the term of office needs to be extended due to special circumstances, it shall be voted and passed by over two thirds of the member representatives of the member congress, submitted to the professional supervisory unit for review, and approved by the organization registration and management authority before taking into effect.

Article 27 The president of CACAC shall be the legal representative. In case of special circumstances, the vice president or secretary general may serve as the legal representative after being reviewed by the professional supervisory unit and approved by the organization registration and management authority.

The legal representative shall sign relevant important documents on behalf of CACAC.

The legal representative of CACAC shall not concurrently serve as the legal representative of other organizations.

Article 28 The president of CACAC shall exercise the following functions and powers:

1. Convening and presiding over the meetings of the council and the standing council.

2. Checking the implementation of the resolutions of the member congress, the council and the standing council.

The vice president or secretary general may be entrusted to exercise the functions and powers stipulated in this item.

Article 29 The secretary general of CACAC shall exercise the following functions and powers:

1. Presiding over the daily work of the office and organize the implementation of the annual work plan.

2. Coordinating the work of internal organizations, branches, representative offices, and entities within CACAC.

3. Nominating the deputy secretary general and the principal persons in charge of each internal organization, branch, representative office, and entity, and submitting to the council or the standing council for decision;

4. Deciding on the appointment of full-time staff of internal institutions, representative offices, and entities.

5. Dealing with other daily affairs.

The deputy secretary general shall assist the secretary general in performing relevant duties.

Chapter V Principles of Asset Management and Use

Article 30 Source of funds:

1. Membership dues.

2. Donation.

3. Government funding.

4. Income from activities or services carried out within the approved business scope.

5. Interests.

6. Other legal income.

Article 31 CACAC shall collect membership dues in accordance with relevant Chinese regulations. The standard of membership dues shall be discussed and decided by the member congress. Members are approved to admission in the second half of the year with half-year membership dues.

Article 32 The funds shall be used for the business scope and career development stipulated in the Articles of Association, and shall not be distributed among members.

Article 33 CACAC shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of asset sources and accounting information.

Article 34 CACAC shall have one accountant and one cashier with professional qualifications. The accountant shall not concurrently serve as cashier. The accountant shall conduct accounting calculations and implement accounting supervision. The accountant to be transferred or resigned must fulfill the handover procedure with the person to take over.

Article 35 The asset management of CACAC shall be implemented based on the financial management system prescribed by China, and accept the supervision of the member congress and the financial department. If the asset is from state fund allocation, social donation or subsidy, it must be supervised by the auditing body and be disclosed to the public in an appropriate manner.

Article 36 CACAC shall accept the financial audit organized by the organization registration and management authority and the professional supervisory unit before changing the term or the legal representative.

Article 37 The assets of CACAC shall not be misappropriated, privately divided or embezzled by any unit or individual.

Article 38 The salary, insurance, and benefits of CACAC full-time staff shall be implemented in accordance with the relevant regulations of China on public institutions. 

Chapter VI Procedures for Amendment to the Articles of CACAC

Article 39 Amendment to the Articles of CACAC shall be voted and passed by the council and then submitted to the member congress for review.

Article 40 The amended Articles of CACAC shall take effect after being reviewed by the member congress after 15 days, then reviewed and agreed by the professional supervisory unit and approved by the organization registration and management authority. 

Chapter VII Termination Procedures and Asset Disposal after Termination

Article 41 If CACAC needs to be revoked due to fulfilling its mission, dissolving on its own, division or combination, the council or standing council shall submit a motion for termination to the member congress.

Article 42 The termination motion of CACAC must be voted and passed by the member congress and submitted to the professional supervisory unit for review and approval.

Article 43 Prior to the termination of CACAC, a liquidation group shall be formed under the guidance of the professional supervisory unit and relevant authorities to settle claims and debts and relevant affairs. During the liquidation, no other activities shall be organized.

Article 44 CACAC shall be terminated after the cancellation of registration by the organization registration and management authority.

Article 45 The residual assets after the termination of CACAC shall be used for the undertakings related to the purpose of CACAC under the supervision of the professional supervisory unit and the organization registration and management authority in accordance with relevant Chinese regulations. 

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted at the third member congress of CACAC on October 29, 2019.

Article 47 The power of interpretation to the Articles of Association shall belong to the council of CACAC.

Article 48 The Articles of Association shall come into force as of the date of approval by the organization registration and management authority.
